- Appoints the chairpersons of committees, in consultation with other Board members.
- Serves ex officio as a member of committees and attends their meetings when invited.
- Discusses issues confronting the organization with the Chief Executive.
- Helps guide and mediate Board actions with respect to organizational priorities and governance concerns.
- Reviews with the Chief Executive any issues of concern to the Board.
- Monitors financial planning and financial reports.
- Plays a leading role in fundraising activities
- Formally evaluates the performance of the Chief Executive and informally evaluates the effectiveness of the Board members.
- Evaluates annually the performance of the organization in achieving its mission.
- Performs other responsibilities assigned by the Board.
1.0 Scope
1.1 The Chairman is a member of the Board that will be in charge of outlining an agenda for the Board's meetings and leading those meetings. He will also work with the President and other officers to establish committees and task forces as needed.
2.0 Purpose
2.1 The Chairman's responsibility beyond the planning and leading of Board meetings will be to work with the President to pursue the instructions from the Board and the spirit of the bylaws, mission statement and strategic plan of the organization.
3.0 Duties
3.1 Formulation of Board meeting agendas. Along with the President, the Chairman will make a DRAFT version of the agenda for the next Board meeting available to Board members 30 days before the meeting.
3.2 Any other activities or outside speakers or guests related to the Board meeting will be supervised by the Chairman. This may also include speakers at meals preceding or following the Board meetings to provide observations or insights that the Chairman may deem valuable to the Board.
